Pro Lease Agreement
THIS LICENSE AGREEMENT ("Agreement") is made effective as of the date of purchase by and between KT Holla p/k/a "Producer" or "Licensor" (hereinafter "Licensor") and the purchaser (hereinafter "Licensee").
Grant of License
Licensor hereby grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use the musical composition (the "Composition") for the purpose of creating one (1) new master sound recording embodying the Composition (the "Master Recording"), subject to the terms herein.
File Delivery / Stem Rights
Licensee shall receive the following file format(s): WAV, MP3, Track Stems.
Licensor grants Licensee the right to use delivered stems solely for mixing, mastering, arranging, editing, and adapting the Composition in connection with the authorized Master Recording. Licensee may not resell, redistribute, sublicense, or otherwise exploit stems separately from the Master Recording.
Permitted Uses
Subject to full payment and continued compliance with this Agreement, Licensee may:
- Commercially distribute the Master Recording up to Fifty Thousand (50,000) total units/downloads/sales
- Monetize the Master Recording up to Five Million (5,000,000) audio streams across DSPs and streaming platforms
- Distribute unlimited free promotional downloads
- Exploit unlimited monetized audiovisual work(s) embodying the Master Recording
- Accumulate unlimited total monetized video streams/views across all video platforms
- Broadcast the Master Recording via terrestrial, satellite, internet, and digital radio
- Perform the Master Recording live in unlimited public and private performances, including for-profit performances
Restrictions
Licensee may NOT:
- Register the Composition or Master Recording in any Content ID, fingerprinting, or digital rights management system without Licensor's prior written consent
- Claim ownership, authorship, or exclusivity in the Composition
- Resell, sublicense, redistribute, lease, or otherwise exploit the Composition or stems apart from the Master Recording
- Use the Composition in film, television, video games, commercial advertisements, or other sync placements without separate written authorization from Licensor
- Assign or transfer this License to any label, distributor, publisher, or third party except solely for digital distribution administration of the Master Recording
Credit
Licensee shall provide customary producer credit where reasonably possible as follows: "Produced by KT Holla." Failure to provide credit shall not constitute material breach unless uncured within fifteen (15) days after written notice.
Ownership
Licensor retains all right, title, and ownership in and to the underlying Composition, including all copyrights not expressly granted herein. This Agreement grants no ownership interest to Licensee in the Composition.
Publishing
Publishing rights shall be split 50% Licensor / 50% Licensee.
Sample Disclosure / Clearance
Unless otherwise expressly stated by Licensor, Licensee acknowledges that clearance of third-party samples for commercial exploitation, if applicable, shall be Licensee's responsibility.
Upgrade / Excess Use
If Licensee exceeds any limitation of this Agreement, or if the Master Recording is proposed for exploitation beyond the scope of this License (including label, publishing, financing, or major commercial opportunities), Licensee must obtain an upgraded license or negotiate separate terms with Licensor prior to further exploitation.
Term
This License shall remain in effect for 10 years from the effective date, unless earlier terminated for breach. Provided Licensee remains in compliance, exploitation commenced during the term may remain distributed thereafter solely so long as usage limits are not exceeded.
Termination
Licensor may terminate this Agreement upon material breach by Licensee if such breach remains uncured for fifteen (15) days following written notice. Upon termination, Licensee shall immediately cease exploitation of the Composition and Master Recording.
Warranties / Indemnification
Each party represents and warrants that it has the authority to enter into this Agreement. Licensee agrees to indemnify and hold Licensor harmless against claims arising from Licensee's breach of this Agreement or unauthorized exploitation of the Composition.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Georgia, United States.
Non-Refundable
All sales are final. License fees are non-refundable and non-transferable.
